  3. END-USER LICENSE AGREEMENT FOR SENSENET SOFTWARE
  4.  
  5. IMPORTANT READ CAREFULLY: This SenseNet Software
  6. End-User License Agreement ("EULA") is a legal
  7. agreement between you (either an individual or a
  8. single entity) and SenseNet Incorporated for the
  9. SenseNet Software product identified above, which
  10. includes "online" or electronic documentation and may
  11. include computer software and associated media and
  12. printed materials ("SOFTWARE PRODUCT" or "SOFTWARE").
  13. By installing, copying, or otherwise using the
  14. SOFTWARE PRODUCT, you agree to be bound by the terms
  15. of this EULA. If you do not agree to the terms of
  16. this EULA, you are not authorized to use the SOFTWARE
  17. PRODUCT.

  19. SOFTWARE PRODUCT LICENSE
  20.  
  21. The SOFTWARE PRODUCT is protected by copyright laws
  22. and international copyright treaties, as well as
  23. other intellectual property laws and treaties. The
  24. SOFTWARE PRODUCT is licensed, not sold.
  25.  
  26. 1. GRANT OF LICENSE. This EULA grants you the
  27. following rights:
  28.  
  29.    * Installation and Use. You may install and use
  30.      copies of the SOFTWARE PRODUCT on a single
  31.      computer.
  32.    * Backup copy. You may make one copy of the
  33.      SOFTWARE PRODUCT solely for backup or archival
  34.      purposes.
  35.    * You may distribute copies of the SOFTWARE
  36.      PRODUCT to third parties provided that they are
  37.      only used locally and do not appear on publicly
  38.      accessible networks.

  40. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

  42.    * Limitations on Reverse Engineering,
  43.      Decompilation, and Disassembly. You may not
  44.      reverse engineer, decompile, or disassemble the
  45.      SOFTWARE PRODUCT, except and only to the extent
  46.      that such activity is expressly permitted by
  47.      applicable law notwithstanding this limitation.
  48.    * Separation of Components. The SOFTWARE PRODUCT
  49.      is licensed as a single product. Its component
  50.      parts may not be separated for use on more than
  51.      one computer.
  52.    * You must maintain all copyright notices on all
  53.      copies of the SOFTWARE PRODUCT.
  54.    * Rental. You may not rent or lease the SOFTWARE
  55.      PRODUCT.
  56.    * Software Transfer. You may permanently transfer
  57.      all of your rights under this EULA, provided the
  58.      recipient agrees to the terms of this EULA.
  59.    * Termination. Without prejudice to any other
  60.      rights, SenseNet may terminate this EULA if you
  61.      fail to comply with the terms and conditions of
  62.      this EULA. In such event, you must destroy all
  63.      copies of the SOFTWARE PRODUCT and all of its
  64.      component parts.

  66. 3. COPYRIGHT. All title and copyrights in and to the
  67. SOFTWARE PRODUCT and any copies thereof are owned by
  68. SenseNet or its suppliers. All title and intellectual
  69. property rights in and to the content which may be
  70. accessed through use of the SOFTWARE PRODUCT is the
  71. property of the respective content owner and may be
  72. protected by applicable copyright or other
  73. intellectual property laws and treaties. This EULA
  74. grants you no rights to use such content.

  76. 4. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE
  77. PRODUCT and documentation are provided with
  78. RESTRICTED RIGHTS. Use, duplication, or disclosure by
  79. the Government is subject to restrictions as set
  80. forth in subparagraph (c)(1)(ii) of the Rights in
  81. Technical Data and Computer Software clause at DFARS
  82. 252.227-7013 or subparagraphs (c)(1) and (2) of the
  83. Commercial Computer Software Restricted Rights at 48
  84. CFR 52.227-19, as applicable. Manufacturer is
  85. SenseNet Incorporated/304 Hudson Street New York, NY
  86. 10013.

  88. 5. EXPORT RESTRICTIONS. You agree that you will not
  89. export or re-export the SOFTWARE PRODUCT to any
  90. country, person, entity or end user subject to U.S.A.
  91. export restrictions. Restricted countries currently
  92. include, but are not necessarily limited to Cuba,
  93. Iran, Iraq, Libya, North Korea, and Syria. You
  94. warrant and represent that neither the U.S.A. Bureau
  95. of Export Administration nor any other federal agency
  96. has suspended, revoked or denied your export
  97. privileges.

  99. 6. NOTE ON JAVA SUPPORT. THE SOFTWARE PRODUCT MAY
  100. CONTAIN SUPPORT FOR PROGRAMS WRITTEN IN JAVA. JAVA
  101. TECHNOLOGY IS NOT FAULT TOLERANT AND IS NOT DESIGNED,
  102. MANUFACTURED, OR INTENDED FOR USE OR RESALE AS
  103. ON-LINE CONTROL EQUIPMENT IN HAZARDOUS ENVIRONMENTS
  104. REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE
  105. OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION
  106. OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, DIRECT
  107. LIFE SUPPORT MACHINES, OR WEAPONS SYSTEMS, IN WHICH
  108. THE FAILURE OF JAVA TECHNOLOGY COULD LEAD DIRECTLY TO
  109. DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR
  110. ENVIRONMENTAL DAMAGE.
  111.  
  112. NO WARRANTIES. SenseNet Software expressly disclaims
  113. any warranty for the SOFTWARE PRODUCT. The SOFTWARE
  114. PRODUCT and any related documentation is provided "as
  115. is" without warranty of any kind, either express or
  116. implied, including, without limitation, the implied
  117. warranties or merchantability, fitness for a
  118. particular purpose, or noninfringement. The entire
  119. risk arising out of use or performance of the
  120. SOFTWARE PRODUCT remains with you.

  122. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event
  123. shall SenseNet Software or its suppliers be liable
  124. for any damages whatsoever (including, without
  125. limitation, damages for loss of business profits,
  126. business interruption, loss of business information,
  127. or any other pecuniary loss) arising out of the use
  128. of or inability to use this SenseNet Software
  129. product, even if SenseNet Incorporated has been
  130. advised of the possibility of such damages. Because
  131. some states/jurisdictions do not allow the exclusion
  132. or limitation of liability for consequential or
  133. incidental damages, the above limitation may not
  134. apply to you.

  136. MISCELLANEOUS
  137.  
  138. If you acquired this product in the United States,
  139. this EULA is governed by the laws of the State of
  140. Washington.
  141.  
  142. If you acquired this product in Canada, this EULA is
  143. governed by the laws of the Province of Ontario,
  144. Canada. Each of the parties hereto irrevocably
  145. attorns to the jurisdiction of the courts of the
  146. Province of Ontario and further agrees to commence
  147. any litigation which may arise hereunder in the
  148. courts located in the Judicial District of York,
  149. Province of Ontario.
  150. If this product was acquired outside the United
  151. States, then local law may apply.
